1. Agreement to these terms

These Terms and Conditions ("Terms") govern your use of phiwebstudio.com (the "Site") and describe the general terms on which Phi Web Studio ("Phi Web Studio", "we", "us", or "our") provides its services. By using the Site or engaging us you agree to these Terms. If you do not agree, please do not use the Site. Where you have a signed proposal or service agreement with us, that agreement controls if it conflicts with anything here.

Your use of the Site is also subject to our Privacy Policy.

2. Using the Site

You may use the Site for lawful purposes and in a way that does not interfere with anyone else's use of it. You agree not to:

• Copy, scrape, or republish substantial parts of the Site without our written permission;
• Attempt to gain unauthorized access to the Site, its hosting, or the systems behind our forms;
• Submit forms with false information, spam, or content that is unlawful, defamatory, or infringing;
• Use the Site to send unsolicited commercial messages or to build marketing lists.

The Site's content, including articles, images, and portfolio descriptions, is provided for general information. Nothing on the Site is legal, financial, or professional advice, and you should not rely on it as a substitute for advice tailored to your situation.

3. Our services

Phi Web Studio provides website design and development, WordPress hosting, support and maintenance, search engine optimization, search engine marketing, and related digital marketing services. The scope, deliverables, timeline, and fees for any project are set out in a separate written proposal or service agreement, and no engagement begins until that document is accepted by both of us.

Sending an inquiry through the Site does not create a client relationship, and information you send before an agreement is in place is not treated as confidential unless we agree otherwise in writing.

4. Proposals, fees, and payment

Project fees and recurring charges, such as hosting, support, and maintenance plans, are stated in your proposal or agreement. Unless it says otherwise, recurring plans are billed in advance and renew automatically until cancelled, and invoices are due within the period stated on them.

Overdue balances may result in paused work or suspended services after notice. Fees already paid are non-refundable except where your agreement or the law says otherwise.

5. Client responsibilities

Good work depends on a good partnership. We rely on you to provide accurate information, timely feedback and approvals, and any content, credentials, or materials the project needs; delays in providing them may move the timeline. You are responsible for making sure the materials you supply do not infringe anyone's rights and that you have permission to use them.

You are responsible for keeping any account credentials associated with your services confidential and for the activity that occurs under your accounts.

6. Intellectual property

Once a project is paid in full, you own the final deliverables created specifically for you. Third-party components, stock assets, fonts, plugins, and pre-existing tools or frameworks remain subject to their own licenses, and Phi Web Studio keeps ownership of its underlying methods, code libraries, and reusable components, which it licenses to you for use in your project.

The Site itself, including its text, design, graphics, and the Phi Web Studio name and logo, belongs to Phi Web Studio. Client names, logos, and screenshots shown in our portfolio belong to their respective owners and appear with permission. Unless you ask us in writing not to, we may show completed work in our portfolio and marketing materials.

7. Results and testimonials

Search rankings, traffic, leads, and revenue depend on many factors outside our control, including search engine algorithms, competition, and your own market. We work to deliver measurable improvements but do not guarantee specific results. Testimonials and case studies on the Site describe individual clients' experiences and are not a promise that yours will be the same.

8. Third-party services

Our services rely on third-party platforms such as hosting infrastructure, domain registrars, content management systems, plugins, payment processors, and advertising networks. We are not responsible for the availability, performance, pricing, or policies of third-party services, and your use of them is subject to their own terms.

9. Disclaimer of warranties

The Site and our services are provided "as is" and "as available". To the fullest extent permitted by law, Phi Web Studio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Site will be uninterrupted or error-free.

10. Limitation of liability

To the fullest extent permitted by law, Phi Web Studio will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data, arising from your use of the Site or our services. Our total liability for any claim relating to an engagement will not exceed the amount you paid us for that engagement in the twelve months before the claim arose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Termination

Either party may end an engagement as described in the applicable service agreement. We may suspend or end your access to the Site or our services if you breach these Terms. Sections that by their nature should survive, including intellectual property, disclaimers, limitation of liability, and governing law, continue to apply after termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of California without regard to its conflict of law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Santa Barbara County, California, and you consent to their jurisdiction. Before filing a claim, each of us agrees to contact the other and try in good faith to resolve the matter.

13. Changes to these Terms

We may update these Terms from time to time. The revised version will be posted here with a new effective date. Your continued use of the Site or our services after changes take effect means you accept the revised Terms.
